“Perfection” is a term often used to describe protection of an assignee’s interest in transferred assets from creditors of the assignor and from the assignor’s insolvency administrator.
ومصطلح " الاتقان " غالبا ما يستعمل لوصف حماية مصلحة المحال اليه في أصول منقولة من دائني المحيل ومن مدير اعسار المحيل .

In response, it was pointed out that an approach based on the law of the country of the debtor's place of business would not be appropriate, since draft article 24 dealt with competing rights of creditors of the assignor and not with the rights and obligations of the debtor.
وأشير ، ردا على ذلك ، الى أن النهج المستند الى قانون البلد الذي فيه يوجد مكان عمل المدين لن يكون ملائما ، ﻷن مشروع المادة ٤٢ يتناول تنازع حقوق دائني المحيل ، لا حقوق المدين والتزاماته .

It was also added that, if, under that law, priority was based on the time of notification, an assignee could not obtain priority over the creditors of the assignor or the insolvency administrator, unless notification took place before the commencement of an insolvency proceeding and provided that it did not constitute a fraudulent or preferential transfer.
وأضيف أيضا أنه اذا كانت الأولوية، بموجب ذلك القانون، تستند الى وقت الإشعار، لا يمكن للمحال اليه أن يحصل على الأولوية على دائني المحيل أو مدبر الاعسار، ما لم يكن الإشعار قد وُجّه قبل بدء اجراءات الاعسار وشريطة أن لا يشكل عملية نقل احتيالية أو تفضيلية.

It was stated that with respect to priority in proceeds other than receivables the law of the country in which those proceeds were located would be more appropriate in that it could correspond to the normal expectations of creditors of the assignor lending in reliance on those assets as security.
وقيل انه بالنسبة الى الأولوية في عائدات ليست هي مستحقات، فإن قانون البلد الذي توجد فيه تلك العائدات من شأنه أن يكون أنسب من حيث انه يمكن أن يتوافق مع التوقعات العادية لدى دائني المحيل في توفير الإقراض بالتعويل على تلك الموجودات باعتبارها ضمانا.

" (3) The [priority between an assignee and] [the effectiveness of an assignment as against] the assignor's creditors is governed by the law of the country in which the assignor has its place of business. "
