If, under law relating to intellectual property, an intellectual property right may not be created, acquired, transferred or encumbered before the intellectual property right is actually registered in an intellectual property registry, the law recommended in the Guide does not interfere with that prohibition and does not make the creation of a security right in such future intellectual property possible.
23- أما إذا لم يكن يجوز، بمقتضى القانون المتعلق بالملكية الفكرية، إنشاء حق ملكية فكرية أو احتيازه أو نقله أو رهنه قبل تسجيل حق الملكية الفكرية فعلا في سِجل للممتلكات الفكرية، فإن القانون الموصى به في الدليل لا يتدخّل في ذلك الحظر، ولا يجعل إنشاء الحق الضماني في تلك الممتلكات الفكرية الآجلة ممكنا.

In the context of intellectual property financing, it follows that the law recommended in the Guide does not affect and does not purport to affect issues relating to the existence, validity, enforceability and content of a grantor's intellectual property rights.
11- وهذا يعني، في سياق التمويل بالممتلكات الفكرية، أن القانون الموصى به في الدليل لا يمسّ، ولا يتوخّى المساس، بالمسائل المتصلة بوجود حقوق الملكية الفكرية لدى المانح وبصحة تلك الحقوق وقابليتها للإنفاذ ومحتواها.

It should be noted that the law recommended in the Guide does not override any provisions of law relating to intellectual property (or other law) that limit the creation or enforcement of a security right or the transferability of an intellectual property (or other) asset (see recommendation 18).
14- وتجدر الإشارة إلى أن القانون الموصى به في الدليل لا يَجُبُّ أيَّ حكم من أحكام القانون المتعلق بالملكية الفكرية (أو غيره من القوانين) يقيِّد إنشاءَ الحقوق الضمانية أو إنفاذَها أو قابليةَ نقل موجودات الملكية الفكرية (أو غيرها من الموجودات) (انظر التوصية 18).

Furthermore, it is important to note that the treatment of the right to the payment of royalties as receivables for the purposes of the secured transactions law recommended in the Guide does not affect the different treatment of this right to the payment of royalties for the purposes of law relating to intellectual property.

As noted, the basic principle is set forth in recommendation 4, subparagraph (b), which provides that the law recommended in the Guide does not apply to " intellectual property in so far as the provisions of the law are inconsistent with national law or international agreements, to which the state is a party, relating to intellectual property. "

As already mentioned, if law relating to intellectual property has priority rules dealing with the priority of security rights in intellectual property that apply specifically to intellectual property and the priority rules of the law recommended in the Guide are inconsistent with those rules, the law recommended in the Guide does not apply (see recommendation 4, subpara. (b)).
