In such cases, it was suggested that different requirements would apply to achieve equivalence with the various functions of a paper-based transferable document or instrument.

39. In response, it was said that a functional equivalence rule for the notion of " original " was necessary, since substantive law required the original of a paper-based transferable document or instrument to request performance or provided consequences for its absence.

However, in response, it was said that the draft article was necessary to provide functional equivalence for forms of endorsement required under substantive law, such as endorsements on the back of a paper-based transferable document or instrument or by affixing an allonge, and should therefore be retained.

Thus, the Working Group engaged in a preliminary discussion about the definition of the terms " paper-based transferable document or instrument " and " electronic transferable record " as provided in draft article 3.

It was indicated that, throughout its life cycle, an electronic transferable record might contain information in addition to that contained in a paper-based transferable document or instrument that performed the same functions.
66- أُوضِح أنَّ السجل الإلكتروني القابل للتحويل قد يحتوي، طوال دورة عُمره، على معلومات تزيد عمَّا يحتوي عليه المستند أو الصك الورقي القابل للتحويل الذي يؤدِّي نفسَ الوظائف.

In that respect, it was suggested that paragraph 7 could be recast to state that all holders of a paper-based transferable document or instrument issued in multiple originals should establish control over the resulting electronic transferable record.
واقتُرحت في هذا الصدد إمكانيةُ إعادة صياغة الفقرة 7 بحيث تنص على أنَّه ينبغي لجميع حائزي المستند أو الصك الورقي الذي أُصدرت له أصولٌ متعدِّدة أن يَبسطوا سيطرتهم على السجل الإلكتروني القابل للتحويل الذي يَحلُّ محلَّ ذلك المستند أو الصك.

In response to a question on what was meant by " transferable " , it was mentioned that whether a document or instrument was transferable or negotiable was an issue of substantive law not dealt with in the draft provisions.
وردًّا على تساؤل عن المعنى المراد بعبارة " قابل للتحويل " ، ذُكر أنَّ مسألة ما إذا كان المستند أو الصك قابلاً للتحويل أو قابلاً للتداول هي مسألة تخصُّ القانون الموضوعي ولا تتناولها مشاريع الأحكام.

Yet another suggestion was to define electronic transferable record as the electronic equivalent of a paper-based transferable document or instrument, or as an electronic record that served the same functions as a paper-based transferable document or instrument.
وذهب اقتراح ثالث إلى تعريف السجل الإلكتروني القابل للتحويل بأنَّه المعادل الإلكتروني للمستند أو الصك الورقي القابل للتحويل، أو بأنَّه سِجلّ إلكتروني يؤدِّي نفس وظائف المستند أو الصك الورقي القابل للتحويل.

In that context, the Working Group recalled that the current definition of electronic transferable record had been broadened and thus was not in line with the definition of paper-based transferable document or instrument, in order to cover instruments that existed only in an electronic environment.
واستذكر الفريق العامل في هذا السياق أنَّ التعريف الحالي للسجل الإلكتروني القابل للتحويل قد جُعل فضفاضاً، بحيث يشمل الصكوك التي لا توجد إلاَّ في بيئة إلكترونية، فلم يَعُد متّسقاً مع تعريف المستند أو الصك الورقي القابل للتحويل.

It was also agreed that the definition of " paper-based transferable document or instrument " could include an indicative list of examples, while whether those examples would be retained in the definition or in the commentary would be discussed at a later stage.
واتُّفق أيضاً على أنَّه يمكن لتعريف " المستند أو الصك الورقي القابل للتحويل " أن يتضمَّن قائمة أمثلة استرشادية؛ أمَّا مسألة ما إذا كان سيُحتفَظ بتلك الأمثلة في التعريف أم في التعليق فيمكن أن تُناقَش في مرحلة لاحقة.

With respect to draft article 31, it was said the paragraphs 1 and 2 should be redrafted to avoid any contradictions, particularly in light of the rule under which the law of the jurisdiction where the paper-based transferable document or instrument was issued applied to matters of validity of that document or instrument.
108- فيما يتعلق بمشروع المادة 31، قيل إنه ينبغي إعادة صياغة الفقرتين 1 و2 تفادياً لأيِّ تضاربات، خصوصاً بالنظر إلى القاعدة التي تقضي بأن يكون القانون المنطبق على المسائل المتعلقة بصحة المستند أو الصك الورقي القابل للتحويل هو قانون الولاية القضائية التي أصدر فيها ذلك المستند أو الصك.

However, it was also explained that the draft article merely aimed at achieving the functional equivalence of " destruction " of a paper-based transferable document or instrument, without touching upon issues of validity of the electronic transferable record.
إلا أنه قدمت توضيحات أيضاً تفيد بأنَّ القصد الوحيد لمشروع المادة هذه هو تحقيق المعادل الوظيفي لـ " إتلاف " المستند أو الصك الورقي القابل للتحويل، دون الاقتراب من المسائل المتعلقة بصلاحية السجل الإلكتروني القابل للتحويل.

While it was agreed that other definitions contained in draft article 3 should be examined in the context of the respective relevant draft article, the Working Group had a discussion about the definitions of " electronic transferable record " and " paper-based transferable document or instrument " .

With respect to the definition of " paper-based transferable document or instrument " , the Working Group recalled that the definition originated from article 2, paragraph 2 of the United Nations Convention on the Use of Electronic Communications in International Contracts (New York, 2005) (the " Electronic Communications Convention " ).
