" 2- بعد الإشعار بالإحالة، لا يكون أي اتفاق بين المحيل والمدين يمس بحقوق المحال إليه نافذ المفعول تجاه المحال إليه إلا:

1. An assignment of a receivable is effective notwithstanding any agreement between the initial or any subsequent assignor and the debtor or any subsequent assignee limiting in any way the assignor's right to assign its receivables.
1- تكون إحالة المستحق نافذة المفعول بصرف النظر عن أي اتفاق بين المحيل الأول أو أي مُحيل لاحق والمدين أو أي مُحال إليه لاحق يقيد بأي شكل من الأشكال حق المُحيل في إحالة مستحقاته.

2. After notification of the assignment, an agreement between the assignor and the debtor that affects the assignee's rights is ineffective as against the assignee unless:
2- بعد الإشعار بالإحالة، لا يكون أي اتفاق بين المحيل والمدين يمس بحقوق المحال إليه نافذ المفعول تجاه المحال إليه الا:

Paragraph 1 is limited to waivers agreed upon by the assignor and the debtor.
20- وتقتصر الفقرة 1 على التنازلات التي يتفق عليها بين المحيل والمدين.

يجب أن يكون مقرّا المورّد والمدين المذكورين في عقد البيع ذي الصلة واقعين في دولتين مختلفتين [المادة 2-1]
