Rather, enforcement would normally occur when the secured creditor indicates to the guarantor/issuer, confirmer or other nominated person that it is entitled to be paid whatever proceeds are otherwise due to the grantor.

Security rights in intangible property generally involve third parties such as, for example, the debtor of a receivable, the obligor under a negotiable instrument, the depositary bank, the guarantor/issuer, confirmer or nominated person in an independent undertaking or the issuer of a negotiable document.

240. Third, the recommendation does not affect in any way the rights of the guarantor/issuer, confirmer or any nominated person under the independent undertaking.

245. It is well established under the law and practice governing independent undertakings in many States that the right to draw under an independent undertaking may not be transferred without the consent of the guarantor/issuer, confirmer or nominated person under the independent undertaking.
245- من الثابت في القانون والممارسة اللذين يحكمان التعهدات المستقلة في دول عديدة أنه لا يجوز إحالة حق السحب بمقتضى تعهد مستقل دون موافقة الكفيل/المصدر أو المثبت أو الشخص المسمّى بموجب التعهد المستقل.

(e) Effect of a security right on the obligations of the guarantor/issuer, confirmer or nominated person under an independent undertaking

The law should provide that the law of the State specified in the independent undertaking of the guarantor/issuer, confirmer or nominated person governs:
208- ينبغي أن ينص القانون على أنَّ قانون الدولة المحددة في التعهّد المستقل الصادر عن الكفيل/المُصدر أو المثبت أو الشخص المسمى يحكم ما يلي:

However, as against the guarantor/issuer, confirmer, nominated person or beneficiary other than the grantor, the security right must be exercised in accordance with recommendations 25 bis, 25 ter and 25 quater.
