67- ولاحظ الفريق العامل أن الفقرة 1 قد تؤدي بدون قصد الى منح المحال اليه أولوية فيما يتعلق بعائدات العائدات حتى اذا كانت لشخص آخر الأولوية فيما يتعلق بعائدات المستحق المحال بمقتضى قانون مقر المحيل.

6. Paragraph 1 of this article does not affect any requirement under rules of law other than this Convention relating to the form or registration of the transfer of any rights securing payment of the assigned receivable.
6- لا تمس الفقرة 1 من هذه المادة بأي اشتراط تقتضيه قواعد قانونية غير هذه الاتفاقية فيما يتعلق بشكل أو بتسجيل نقل أي حقوق تضمن تسديد المستحق المحال.

It was noted that, in cases where a licensor assigned its claim against a licensee for the payment of royalties under a licence agreement, the licensee (as the debtor of the assigned receivable) would be a third-party obligor under the Guide.
60- لوحظ أنه عندما يحيل مرخِّص مطالبة مرخَّص لـه بدفع ريع بمقتضى اتفاق ترخيص، يكون المرخَّص له (بصفته المدينَ بالمستحق المحال) طرفا ثالثا مدينا بمقتضى الدليل.

An assignee claiming the proceeds as proceeds of the assigned receivable should not necessarily have priority over an assignee that claims the proceeds as original collateral, a purchaser for value of the proceeds, or a person with a right of set-off against the proceeds.
فالمحال اليه الذي يطالب بالعائدات باعتبارها عائدات للمستحق المحال لا ينبغي بالضرورة أن تكون له الأولوية على محال اليه يطالب بالعائدات باعتبارها ضمانا أصليا أو على مشتر للعائدات بمقابل أو شخص له حق مقاصة في العائدات.

It would, therefore, seem that article 24, paragraph 1 (b), would cover situations in which payment is made to the assignor or to another person and proceeds of the assigned receivable are commingled with other assets of the assignor or that other person.
