Alternatives to direct regulation of corporate groups in insolvency should be noted by reference to parts of the insolvency law or other law, such as avoidance or subordination provisions.
وقيل إنه ينبغي التنبيه إلى بدائل التنظيم اللائحي المباشر لمجموعات الشركات في حالة الإعسار وذلك بالإشارة إلى أجزاء قانون الإعسار أو قانون آخر، كالأحكام المتعلقة بالإبطال أو بتخفيض الأولوية.

It was suggested that in referring to the recommendations of the Insolvency Guide it might be noted that those recommendations are directed at the content of the insolvency law.
97- وذُكر أنه يمكن أن يُبيَّن في الإشارات المرجعية إلى توصيات دليل الإعسار أن تلك التوصيات تخص مضمون قانون الإعسار.

Alternatives to direct regulation of corporate groups in insolvency would include providing sufficient definition in other parts of the insolvency law to allow application of these provisions to corporate groups, such as the use of avoidance or subordination provisions with respect to related parties.
ومن البدائل للتنظيم المباشر لمجموعات الشركات في حالة الإعسار تقديم تعريف كاف في أجزاء أخرى من قانون الإعسار للتمكين من تطبيق تلك الأحكام على مجموعات الشركات، مثل استخدام أحكام الإبطال أو أحكام إنزال مرتبة المطالبات فيما يتعلق بالأطراف ذات الصلة.

The Working Group noted that the use of cross-border agreements might vary from jurisdiction to jurisdiction, depending upon the respective powers of judges and insolvency representatives and the content of the insolvency law.
17- ولاحظ الفريق العامل أن استخدام الاتفاقات عبر الحدود قد يتغيّر من ولاية قضائية إلى أخرى تبعا للسلطات المقرّرة للقضاة وممثّلي الإعسار في كل منها ومضمون قانون الإعسار.

Treatment of these assets will depend on the provisions of the insolvency law with respect, for example, to application of the stay, further encumbrance of those assets, use of the assets during the course of the insolvency proceedings, sale or disposal of assets, relinquishment of assets and sale of encumbered assets free and clear of any security rights.
وستعتمد معاملة تلك الموجودات على أحكام قانون الإعسار فيما يتعلق مثلا بتطبيق الوقف، والرهن الإضافي لتلك الموجودات، واستخدام الموجودات خلال سير إجراءات الإعسار، وبيع الموجودات أو التصرف فيها، والتنازل عن الموجودات، وبيع الموجودات المرهونة خالصة وخالية من أي حقوق ضمانية.

After discussion, the Working Group agreed that such a provision be included and drafted along the lines of: " The insolvency law may permit the court to order procedural coordination on its own initiative. "

Under most existing legal systems, such a modification of contractual rights requires the commencement of full court-supervised reorganization proceedings under the insolvency law, involving all creditors and satisfaction of the requirements of the insolvency law governing the conduct of those proceedings.

سيحتاج أي قانون إعسار يسمح بالقيام بإجراءات معجّلة إلى أن يحدد ما سينطبق على هذه الإجراءات من أحكام قانون الإعسار المنطبقة على الإجراءات الكاملة الخاضعة لإشراف المحكمة، لا سيما إذا كانت هناك تغييرات ستدخل على الطريقة التي ستنطبق بها هذه الأحكام.

It was observed that the drafting of recommendations (105) and (107) departed from the general formulation of " The insolvency law should ... " and should be revised accordingly.
