The purpose of this strategy is to convert foreign debt into investments. This mechanism was developed based on the outcomes of the fifth and sixth meetings held with the Paris Club on the rescheduling of Morocco's debts. Morocco has endeavoured to expand the scope of the mechanism to include other creditors outside the Paris Club and has created the following two tools for the purpose:

46. It was noted that in certain circumstances the existence of a special relationship between the enterprise in insolvency proceedings and a creditor could lead to subordination of that creditor's claim to claims of other creditors.

The view was expressed that the exception in paragraph (6) should not be allowed to result in some additional priority being given to secured creditors at the expense of other creditors.

One rationale for this approach is that it is the most cost-efficient approach, because it relieves the secured creditor of the need to determine priority each time it extends credit, a determination that typically involves additional searches for new registrations by other creditors, the execution of additional agreements and additional registrations for amounts of credit extended subsequent to the time the security right was created.

In addition to that, extensive security arrangements are negotiated with the project company and its shareholders with a view to guaranteeing priority payment of commercial debts before payments are made to other creditors or dividends are distributed to equity investors or to the project company’s shareholders, and to conferring control of the project on the lenders in the event of default by the project company.
٨٧ - اضافة الى ذلك ، يتم التفاوض ، مع شركة المشروع والمساهمين فيها على ترتيبات ضمان مستفيضة ، بغية كفالة أولوية دفع الديون التجارية قبل تسديد الدفعات الى دائنين آخرين أو قبل توزيع اﻷرباح على المساهمين في رأس المال أو على حملة أسهم شركة المشروع ، وكذلك بغية تخويل المقرضين صلاحية مراقبة المشروع في حال حدوث تقصير من جانب شركة المشروع .
