" 12.3 The transfer of rights under a contract of carriage pursuant to which no negotiable transport document or no negotiable electronic record is issued shall be effected in accordance with the provisions of the national law applicable to the contract of carriage relating to transfer of rights.
" 12-3 تُنفّذ إحالة الحقوق في إطار عقد نقل لا يُصدَر بمقتضاه مستند نقل قابل للتداول أو سجل إلكتروني قابل للتداول وفقا لما يتضمنه القانون الوطني المنطبق على عقد النقل من أحكام تتعلق بإحالة الحقوق.

1. The controlling party is the only person that may agree with the carrier to variations to the contract of carriage other than those referred to in article 52, subparagraphs 1 (b) and (c).

(a) To make variations by the controlling party to the contract of carriage other than as referred to in article 53 could make delivery of the goods impossible, in which case provision should be made for the terms of article 50 to apply.

In response, it was indicated that only selected provisions of other international agreements would be applicable to the contract of carriage under the draft instrument, and that the proposed text of draft article 88a (5) would allow derogation from these selected provisions in a volume contract.

It was suggested that this potential conflict could be avoided through the inclusion of the following phrase after the words " or the transferee " at the end of the final sentence of the provision: " in accordance with the provisions of the national law applicable to the contract of carriage relating to transfer of rights " .
واقتُرح أنه بالإمكان تجنب هذا التنازع المحتمل بأن تُدرج بعد عبارة " أو المحال إليه " في نهاية الجملة الأخيرة من الحكم العبارة التالية: " وفقا لما يتضمنه القانون الوطني المطبّق على عقد النقل من أحكام تتعلق بإحالة الحقوق " .

It was observed that paragraph 2 of draft article 56 provided that variations to the contract of carriage were required to be stated in negotiable transport documents or incorporated into negotiable electronic transport records, but that their inclusion in non-negotiable transport documents or electronic transport records was at the option of the controlling party.
105- لوحظ أن الفقرة 2 من مشروع المادة 56 تنص على وجوب ذكر أيّ تغييرات تُدخَل على عقد النقل في مستندات النقل القابلة للتداول أو إدراجها في سجلات النقل الإلكترونية القابلة للتداول، لكن إدراجها في مستندات النقل غير القابلة للتداول أو في سجلات النقل الإلكترونية غير القابلة للتداول لا يكون إلا إذا اختار الطرف المسيطر ذلك.

21. It was further suggested that, in the case of non-negotiable transport documents or electronic transport records, the controlling party should be entitled to have a new document or record issued so as to reflect the variation of the contract of carriage.

129. The bill of lading is a document issued to a shipper (in this case, the Peacekeeping Affairs Office of the Chinese Ministry of National Defence) by a shipping company (in this case, for the vessel HHL Congo) and serves as evidence of the contract of carriage and as a receipt for the goods.
