1. An assignment of a receivable is effective notwithstanding any agreement between the initial or any subsequent assignor and the debtor or any subsequent assignee limiting in any way the assignor's right to assign its receivables.
1- تكون إحالة المستحق نافذة المفعول بصرف النظر عن أي اتفاق بين المحيل الأول أو أي مُحيل لاحق والمدين أو أي مُحال إليه لاحق يقيد بأي شكل من الأشكال حق المُحيل في إحالة مستحقاته.

" 3. Notwithstanding paragraphs 1 and 2 of this article, defences and rights of set-off that the debtor may raise pursuant to article 11 against the assignor for breach of agreements limiting in any way the assignor's right to assign its receivables are not available to the debtor against the assignee. "
" 3- بصرف النظر عن أحكام الفقرتين 1 و2 من هذه المادة، لا يجوز للمدين أن يتمسك تجاه المحال إليه بالدفوع وحقوق المقاصة التي يجوز للمدين أن يتمسك بها تجاه المحيل، عملا بالمادة 11، بداعي الإخلال باتفاقات تقيد بأي شكل من الأشكال حق المحيل في إحالة مستحقاته. "

1. An assignment of a receivable is effective notwithstanding any agreement between the initial or any subsequent assignor and the debtor or any subsequent assignee limiting in any way the assignor's right to assign its receivables.
1 - تكون إحالة المستحق نافذة المفعول بصرف النظر عن أي اتفاق بين المحيل الأول أو أي مُحيل لاحق والمدين أو أي مُحال إليه لاحق يقيد بأي شكل من الأشكال حق المُحيل في إحالة مستحقاته.

In the seller's view, therefore, the buyer was liable to the full amount of the outstanding payment.
ومن ثمّ، رأى البائع أن المشتري مسؤول عن سداد كامل مستحقاته المتبقية.

“[(3) A receivable assigned by the assignee to a subsequent assignee is transferred notwithstanding any agreement limiting in any way the assignor's right to assign its receivables.
" ])٣( ينقل أي مستحق أحاله المحال اليه الى محال اليه لاحق على الرغم من وجود أي اتفاق يحد ، بأية طريقة ، من حق المحيل في احالة مستحقاته .

" (1) A receivable is transferred to the assignee notwithstanding any agreement between the assignor and the debtor limiting in any way the assignor's right to assign its receivables.
" )١( يكون المستحق منقولا الى المحال اليه بصرف النظر عن أي اتفاق بين المحيل والمدين يقيد بأي شكل من اﻷشكال حق المحيل في احالة مستحقاته .

" (2) Nothing in this article affects any obligation or liability of the assignor to the debtor in respect of an assignment made in breach of an agreement limiting in any way the assignor's right to assign its receivables, but the assignee is not liable to the debtor for such a breach. "
" )٢( لا تمس هذه المادة أي التزام أو مسؤولية من جانب المحيل تجاه المدين فيما يتعلق باحالة أجريت اخلالا باتفاق يقيد بأي طريقة حق المحيل في احالة مستحقاته ، لكن المحال اليه ليس مسؤولا تجاه المدين عن هذا الاخلال . "

It was stated that such a result would be inconsistent with article 9, paragraph 1, of the United Nations Convention on the Assignment of Receivables in International Trade ( " the United Nations Assignment Convention " ), under which an assignment was effective notwithstanding any agreement limiting a creditor's right to assign its receivables.
وذكر أن تلك النتيجة لا تتماشى مع الفقرة 1 من المادة 9 من اتفاقية الأمم المتحدة لاحالة المستحقات في التجارة الدولية ( " اتفاقية الأمم المتحدة للاحالة " ) التي بموجبها تكون الاحالة نافذة المفعول بصرف النظر عن أي اتفاق يقيّد حق الدائن في احالة مستحقاته.

The draft Convention does not preclude the assignor from offering its receivables to different lenders for credit (e.g. to a supplier of materials on credit and to a financing institution for working capital) in that it does not give priority to one lender over the other.
ولا يمنع مشروع الاتفاقية المحيل من عرض مستحقاته على مقرضين مختلفين للحصول على الائتمان (مثال ذلك، عرضها على مورد مواد على أساس الائتمان، أو على مؤسسة مالية للحصول على رأسمال متداول) لأنه لا يعطي الأولوية لأحد المقرضين على الآخر.

In order to address that problem, it was suggested that language along the following lines should be included in paragraph (1): " Nothing in this article affects any limitations to the assignor's right to assign its receivables that does not result from an agreement between the assignor and the debtor " .
ومن أجل معالجة تلك المشكلة ، اقترح أن تدرج في الفقرة )١( عبارة على غرار ما يلي : " ليس في هذه المادة ما يمس أية قيود على ما للمحيل من حق في احالة مستحقاته لا يكون ناتجا عن اتفاق بين المحيل والمدين " .

)١( ينقل أي مستحق أحاله المحال اليه اﻷول أو أي محال اليه لاحق الى محال اليه لاحق على الرغم من وجود أي اتفاق بين المحال اليه اﻷول أو أي محال اليه لاحق وبين المدين أو أي محال اليه لاحق يحد بأية طريقة من حق المحيل اﻷول أو أي محيل لاحق في احالة مستحقاته .

26. If the encumbered asset is a receivable, an assignment of the receivable is effective as between the assignor and the assignee and as against the debtor of the receivable notwithstanding an agreement between the initial or any subsequent assignor and the debtor of the receivable or any subsequent assignee limiting in any way the assignor's right to assign its receivables (see A/CN.9/631, recommendation 22).
26- وإذا كانت الموجودات المرهونة عبارة عن مستحق، تكون إحالة ذلك المستحق نافذة فيما بين المحيل والمحال إليه وتجاه المدين بالمستحق بصرف النظر عن وجود اتفاق بين المحيل الأول أو أي محيل لاحق والمدين بالمستحق أو أي محال إليه لاحق، يقيّد بأي شكل من الأشكال حق المحيل في إحالة مستحقاته (انظر التوصية 25 (أ) في الوثيقة A/CN.9/631).

As to statutory limitations of the assignor's right to assign its receivables, it was generally agreed that subparagraph (a) properly allocated between the assignor and the assignee the risk that the assignment might be invalidated as a result of such limitations, since the assignor was in a better position to know whether there was a statutory limitation of its right to assign its receivables.
